Pro Studio Terms of Service

Effective date: 20 July 2026. These terms apply in addition to the Mika Sites General Terms of Service and govern use of the Pro Studio features available to approved agency and freelancer accounts.

1. Pro Studio Eligibility

Pro Studio access is granted to approved individuals and organisations ("Pro Users") who have submitted a Pro Studio application and been approved by Mika Digital. Approval is at our sole discretion and may be revoked if these terms are violated.

Pro Users must be legally permitted to provide website design and development services in their jurisdiction. By accepting these terms, you represent that you are at least 18 years old and legally authorised to enter into commercial agreements.

2. Licence and Permitted Use

Mika Digital grants you a non-exclusive, non-transferable licence to use Pro Studio features to build, manage, and maintain websites on behalf of your clients ("Client Sites"). This licence is limited to legitimate web services delivery.

Permitted uses include: building Client Sites, injecting custom code on a per-section basis, white-labelling the dashboard for your clients, managing multiple workspaces through the Agency Control Centre, and accessing the Global Asset Library.

Prohibited uses include: sublicensing Pro Studio access to third parties, reverse engineering or extracting our proprietary template logic, using Pro Studio to build sites for yourself under the agency pricing rate (this constitutes plan misuse), and any use that violates applicable law.

3. Client Relationships, Sub-Account Control, and Master Billing Responsibility

You are the responsible party for all Client Sites managed under your Pro Studio account. This includes ensuring that:

  • All content published on Client Sites complies with applicable laws, including advertising standards and consumer protection legislation in the client's operating jurisdiction.
  • Your clients have consented to their business data being stored and processed by Mika Sites.
  • Any custom code (CSS, JavaScript) injected into Client Sites does not introduce malicious behaviour, data exfiltration, or violations of applicable privacy laws (including GDPR, Australian Privacy Act, and CCPA).
  • Client Sites do not infringe third-party intellectual property rights.

Mika Digital is not a party to agreements between you and your clients. You are solely responsible for your client contracts, billing, and the scope of services you provide.

Master billing entity. Where your Pro Studio plan covers managed hosting or subscription fees on behalf of client sub-accounts, you acknowledge and agree that you act as the master billing entity for those sub-accounts. If you fail to pay applicable subscription, hosting, or domain renewal fees when due, all sub-accounts managed under your agency workspace become subject to immediate restriction, suspension, or transition in accordance with clause 8 below.

4. Code Injection (Developer Mode)

Pro Studio provides section-level CSS and JavaScript injection ("Developer Mode"). By using Developer Mode, you agree that:

  • You are responsible for the correctness, security, and legality of all injected code.
  • Injected code must not track users without their consent, bypass platform security controls, or interfere with other tenants' sites.
  • We may disable or remove injected code without notice if it poses a security risk or violates these terms.
  • We do not review or take responsibility for custom code functionality.

5. White-Label Features

Agency Starter and above plans include white-label options allowing you to present the dashboard under your agency brand. You agree that:

  • You will not misrepresent the underlying platform or actively deceive clients about the technology used when directly asked.
  • You remain legally accountable for the services delivered under your agency brand.
  • White-label configuration does not affect Mika Digital's right to enforce these terms against you.

6. Multi-Site Dashboard and Client Onboarding

When you onboard a client using the agency invitation system, you are authorising that client to access and edit their own business profile and dashboard. You understand that:

  • Clients have independent access to their data and may exercise their data rights directly with Mika Digital.
  • If a client disassociates from your agency account, their site and data remain theirs; you lose management access at the point of disassociation.
  • You should not access client dashboards without their consent except for the legitimate purpose of managing and maintaining their site.

7. Billing and Wholesale Pricing

Pro Studio plans are billed at the wholesale rate described on the pricing page. You are responsible for paying Mika Digital directly, regardless of whether you have collected payment from your clients.

Downgrading or cancelling your Pro Studio plan does not cancel your clients' access to their sites. Client Sites will revert to the standard business plan rate billed directly to the client (or become inactive if no plan is attached). You are responsible for notifying clients of any plan changes.

We reserve the right to adjust Pro Studio pricing with 30 days' notice. If pricing increases materially, you may cancel without penalty within the notice period.

8. Agency Default, Restriction, and Client Migration Protocol

This clause governs what happens if your Pro Studio subscription lapses, your payment fails, or your account is otherwise placed into an overdue or defaulted state. The purpose of this protocol is to protect business continuity for your end-clients while safeguarding Mika Digital's ability to recover outstanding fees.

8.1 β€” Right to Restrict Access

In the event of an overdue balance exceeding 7 days, Mika Digital reserves the right to restrict access to your agency dashboard. During this window, Client Sites will continue to render normally from the edge cache; however, you will be unable to publish changes, add new Client Sites, or modify design settings until the outstanding balance is cleared.

8.2 β€” Fallback Notice on Client Sites

If the overdue balance remains unpaid after 14 days, Mika Digital reserves the right to display an administrative notice on any or all associated live Client Sites notifying visitors and end-clients of the billing lapse. Such notices will be factual and limited to alerting end-clients that the hosting arrangement is pending renewal. Mika Digital will also send notification emails directly to the registered contact address on file for each managed business.

8.3 β€” 30-Day Default Resolution Window

If your account remains unpaid or overdue for a period exceeding 30 calendar days from the initial billing failure date, Mika Digital reserves the right, at its sole discretion, to:

  • Terminate your administrative access to all managed sub-accounts;
  • Uncouple website data snapshots and custom domain configurations from your agency workspace; and
  • Offer the underlying business entities the opportunity to assume direct billing responsibility with Mika Sites in order to maintain their website availability without interruption.

8.4 β€” Direct-Client Rescue and Migration

To protect the interests of innocent end-clients who may be unaware of your billing default, Mika Digital may send a secure, tokenised migration link directly to the registered business owner of each managed Client Site. This link allows the business owner to assume direct control of their website account and continue operating under an independent Mika Sites subscription.

You explicitly acknowledge that because website data snapshots, configuration states, and edge-rendering assets are hosted on Mika Sites infrastructure, you have no independent proprietary right to withhold Client Sites from end-clients upon default. Upon expiry of the 30-day grace period, you forfeit all management rights, agency margins, and administrative control over unlinked sub-accounts, and release Mika Digital from any liability arising from the direct migration of those end-clients to independent platform accounts.

8.5 β€” Resource Release (Permanent Shutdown)

If neither you nor the underlying business owner takes action to resolve the default within 60 days of the initial billing failure, Mika Digital may archive the affected website snapshots, release domain DNS configurations, and free associated infrastructure resources. Mika Digital will make reasonable attempts to notify both you and the end-client prior to this step.

8.6 β€” Resolution Options

At any point within the 30-day default window, the overdue balance may be cleared by you β€” at which point full dashboard privileges will be restored immediately, and no migration links will be activated. Mika Digital will not initiate end-client migration contacts until the 14-day mark (clause 8.2) has passed without payment.

9. Domain Asset Protection Upon Default

Where Mika Sites or its integrated registrar partners have registered or managed a custom domain on behalf of a managed client under your agency account, a billing default does not transfer ownership of that domain to Mika Digital for commercial exploitation.

Specifically:

  • Upon default, the domain registration will be placed into a locked/restricted state for a minimum of 60 days from the date of default to prevent third-party acquisition (domain squatting).
  • During this 60-day window, the rightful business owner or their authorised representative may pay the applicable domain registry fees directly to Mika Digital to assume registrar control of the domain.
  • Mika Digital will not allow domain registrations to lapse or expire without reasonable prior written notice to both you and the end-client.
  • Domains registered under your agency account solely for your own business (not for a managed client) are not subject to this clause and remain your responsibility to renew.

This clause survives termination of your Pro Studio agreement and continues to protect end-clients' domain assets regardless of the reason for account closure.

10. Mika Store Reselling

Mika Store (the built-in e-commerce module) is available as an add-on for individual business owners and is not included within Pro Studio licences by default. Reselling or provisioning Mika Store to clients as part of your agency offering requires a separate Mika Store Reseller Agreement with Mika Digital.

Until a Reseller Agreement is in place, Pro Studio users may not:

  • Activate, manage, or bill Mika Store features on behalf of a client under a wholesale or agency arrangement.
  • Represent to clients that Mika Store is included in Pro Studio services.
  • Bundle Mika Store pricing into their own service packages without written authorisation.

Individual clients may subscribe to Mika Store directly under their own account at the standard rate, separate from any Pro Studio arrangement. To enquire about a Reseller Agreement, contact partners@mikasites.com.

11. Referral and Partner Commissions

Pro Studio users who are also registered as Mika Sites partners earn referral commissions as described in the Partner Program terms. Commissions are subject to a 30-day hold period before payout to account for refunds and chargebacks. Commission rates and eligibility are governed by the Partner Program terms, which may be updated separately.

12. Intellectual Property and Data Portability

Mika Digital retains all rights to the Pro Studio platform, templates, template engine, design configurations, and infrastructure. These are proprietary and are not exported or transferred under any circumstances.

Your clients retain ownership of their business content β€” profile information, contact details, service descriptions, team bios, and uploaded images and assets. Any custom code you inject belongs to you (or your client, as agreed between you).

Data export:Upon written request, Mika Digital will provide a raw export of a client's business profile data and uploaded assets. A processing fee applies. Website design configurations (template layouts, style presets, section settings, injected code) are platform-specific and are not included in data exports.

You grant Mika Digital a non-exclusive licence to host, display, and transmit Client Site content solely to provide the platform services.

13. Confidentiality

Pro Studio pricing, platform architecture details, and agency-specific features shared during onboarding are confidential. You agree not to disclose these details to direct competitors of Mika Digital without our written consent.

14. Suspension and Termination

Either party may terminate Pro Studio access with 30 days' written notice. Mika Digital may terminate immediately β€” without notice or refund β€” for material breach of these terms, including but not limited to: misuse of code injection, platform fraud, misrepresentation to clients, circumventing billing controls, or conduct that harms other users or the platform's reputation.

Suspension (account block): Mika Digital may suspend your account β€” preventing dashboard login and all client site management β€” without prior notice where immediate action is required to protect the platform or other users. Suspended accounts receive a written reason. Suspension does not constitute termination; it may be lifted once the underlying issue is resolved. You may appeal by contacting legal@mikasites.com.

Grounds for immediate suspension include: injection of malicious or privacy-violating code into Client Sites, impersonation of Mika Digital staff, repeated T&C violations after warning, fraud, or credible reports of illegal activity connected to your Pro Studio usage.

On termination, your agency workspace is removed. Client Sites already onboarded transition to individual business accounts and are unaffected (subject to clause 7). You remain liable for any fees owed up to the termination date.

15. Limitation of Liability

To the maximum extent permitted by law, Mika Digital's liability to you for any Pro Studio-related claim is limited to the fees you paid in the 3 months prior to the claim. We are not liable for indirect, consequential, or punitive damages, including lost revenue from client contracts.

16. Governing Law

These terms are governed by the laws of Queensland, Australia. Disputes will be resolved in Queensland courts, except where you are a consumer entitled to local protections in another jurisdiction.
